1. Acceptance of Terms

By creating an account, accessing, or using the services provided by AH APTS LLC ("Company," "we," "us," or "our"), doing business as Ahwave, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

2. Description of Service

Ahwave provides a platform for real estate and property management companies to manage communications, including phone number provisioning, call recording, AI-driven transcription, and notification services (the "Service").

3. Account Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account.

4. Call Recording and Compliance

4.1. Consent to Record: The Service automatically plays a pre-recorded announcement to all callers notifying them that the call may be recorded ("This call may be recorded for quality assurance..."). By using the Service, you acknowledge and agree that this announcement will be played.

4.2. Legal Compliance: You represent and warrant that your use of the Service complies with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and state-specific wiretapping and privacy laws.

5. Artificial Intelligence Disclaimer

5.1. AI Accuracy: Our Service utilizes third-party Large Language Models (LLMs), such as OpenAI, to transcribe audio and generate summaries. You acknowledge that AI technologies are experimental and may produce inaccurate, incomplete, or misleading results ("Hallucinations").

5.2. No Reliance: Summaries and transcripts are provided "as-is" for convenience only. You agree not to rely solely on AI-generated summaries for critical business decisions. We recommend verifying important information by listening to the original audio recording.

5.3. Liability: Ahwave is not liable for any errors, omissions, or misinterpretations in the AI-generated content.

6. Data Ownership and License

6.1. Client Data: You retain ownership of the data you input into the Service, including your call recordings, transcripts, and customer contact information ("Client Data").

6.2. License to Ahwave: You grant Ahwave a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and analyze your Client Data for the purpose of (a) providing the Service, (b) improving our AI models and algorithms, and (c) debugging technical issues.

6.3. Service Data: Ahwave owns all rights, title, and interest in the Service itself, including software, algorithms, interfaces, and any aggregated, anonymized data derived from the use of the Service that does not identify you or your individual customers.

7. Fees and Payment

7.1. Subscription: The Service is billed on a recurring basis (monthly or annually) as selected by you.

7.2. No Refunds: Payments are non-refundable. We do not provide refunds or credits for partial months of service or unused time.

7.3. Changes: We reserve the right to change our pricing upon 30 days' notice.

8. Termination

8.1. By You: You may cancel your account at any time. Upon cancellation, your access to the Service will cease immediately.

8.2. By Us: We may suspend or terminate your account if you violate these Terms, specifically if you use the Service for spam, harassment, or illegal activities.

9. Limitation of Liability

To the maximum extent permitted by law, AH APTS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of your transmissions or content.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the United States.
